SOMAAQ Affiliate Program Operating Agreement

This Affiliate Program Operating Agreement (“Agreement”) contains the terms and conditions governing participation in the SOMAAQ Affiliate Program (the “Program”).

SOMAAQ,” “we,” “us,” or “our” means SOMAAQ and the entity operating the SOMAAQ Affiliate Program.

Affiliate,” “you,” or “your” means the individual, creator, influencer, business, website, or other entity approved to participate in the Program.

By applying to, being accepted into, or continuing to participate in the Program, you acknowledge that you have read, understood, and agreed to be bound by this Agreement and any applicable SOMAAQ policies, guidelines, and program rules.

1. Description of the Program

The SOMAAQ Affiliate Program allows approved affiliates to promote SOMAAQ products using affiliate links, promotional materials, and/or approved discount codes and earn commissions on eligible purchases generated through their promotional activities.

SOMAAQ may provide affiliates with unique affiliate links, discount codes, product information, images, promotional materials, and other resources for use in connection with the Program.

Participation in the Program does not guarantee any minimum number of sales, commissions, income, or other financial benefit.

2. Enrollment and Eligibility

To participate in the Program, you must provide complete, accurate, and current information during registration and throughout your participation.

SOMAAQ reserves the right to approve or reject any application at its sole discretion.

SOMAAQ may suspend or terminate an affiliate account if information provided by the affiliate is inaccurate, misleading, incomplete, or no longer valid.

You must be legally capable of entering into this Agreement and must comply with all applicable laws and regulations.

3. Affiliate Links and Promotional Codes

Approved affiliates may use the affiliate links and promotional materials provided or approved by SOMAAQ.

Each affiliate may also receive a special 15% discount coupon intended for sharing with their audience.

The affiliate may share the discount coupon through their permitted promotional channels, provided that the affiliate follows this Agreement and any additional promotional guidelines communicated by SOMAAQ.

Affiliate links and discount codes must not be used in a misleading, deceptive, fraudulent, unlawful, or abusive manner.

SOMAAQ may modify, replace, suspend, or discontinue any affiliate link, discount code, promotional offer, or promotional material at any time.

4. Affiliate Commission

Approved affiliates will receive a 40% commission on the final cart value after applicable discounts have been deducted.

The commission is therefore calculated on the amount actually payable by the customer after the applicable discount has been applied.

Example

If a customer's cart value is ₹1,000 and the customer uses the affiliate's 15% discount:

  • Original cart value: ₹1,000
  • 15% customer discount: ₹150
  • Final cart value: ₹850
  • Affiliate commission: 40% of ₹850 = ₹340

Accordingly, the affiliate commission is not calculated on the original pre-discount cart value.

Commissions are payable only on qualifying purchases that are successfully attributed to the affiliate and are not subsequently cancelled, returned, refunded, reversed, or determined to be invalid.

5. Qualifying Purchases

A purchase may qualify for an affiliate commission when:

  1. The customer purchases an eligible SOMAAQ product through the affiliate's approved affiliate link and/or approved affiliate discount code; and
  2. The purchase is successfully recorded and attributed to the affiliate through the Program's tracking system; and
  3. The order is successfully paid and is not subsequently cancelled, returned, refunded, or otherwise invalidated.

SOMAAQ reserves the right to determine whether a transaction qualifies for commission based on available tracking information, order records, payment status, and applicable Program rules.

6. Non-Qualifying Transactions

SOMAAQ may withhold, reverse, cancel, or adjust commissions associated with:

  • Cancelled orders.
  • Returned orders.
  • Refunded orders.
  • Fraudulent or suspicious transactions.
  • Duplicate or artificially generated transactions.
  • Orders that cannot be correctly attributed to the affiliate.
  • Self-purchases or purchases made on behalf of the affiliate for the purpose of generating commission.
  • Orders generated through prohibited or deceptive promotional methods.
  • Orders that violate SOMAAQ's policies or this Agreement.
  • Any transaction otherwise determined by SOMAAQ to be invalid or ineligible under the Program.

If a commission has already been credited and the underlying transaction is subsequently refunded, cancelled, or determined to be invalid, SOMAAQ may reverse or adjust the corresponding commission.

7. Audience Discount

SOMAAQ may provide an approved affiliate with a 15% discount coupon for their audience.

The coupon is intended to provide a benefit to the affiliate's audience while allowing the affiliate to generate qualifying sales.

The availability, validity, applicable products, usage limits, and other conditions of the coupon may be determined or modified by SOMAAQ from time to time.

Unless otherwise communicated by SOMAAQ, the affiliate must not modify, alter, misrepresent, or combine the coupon with unauthorized promotions.

8. Affiliate Promotional Requirements

Affiliates are responsible for ensuring that all promotional content they publish is truthful, accurate, and compliant with applicable laws, regulations, platform rules, and advertising standards.

Affiliates must not:

  • Make false or misleading claims about SOMAAQ or its products.
  • Make unsupported medical, therapeutic, disease-treatment, prevention, or cure claims.
  • Misrepresent the ingredients, formulation, benefits, pricing, discounts, or performance of SOMAAQ products.
  • Make claims that SOMAAQ has not authorized or that the affiliate cannot reasonably substantiate.
  • Misrepresent their relationship with SOMAAQ.
  • Engage in spam, deceptive advertising, fraudulent traffic generation, or artificial clicks.
  • Use misleading advertisements or promotional methods designed to manipulate customers.
  • Use SOMAAQ's trademarks, logos, images, or other intellectual property in a manner that is not permitted by SOMAAQ.
  • Engage in any activity that may damage SOMAAQ's reputation or violate applicable law.

SOMAAQ may require an affiliate to modify or remove promotional content that it considers inaccurate, misleading, inappropriate, unauthorized, or inconsistent with the Program.

9. Influencer and Advertising Disclosure

Where an affiliate's promotional activity constitutes advertising or involves a material connection with SOMAAQ, the affiliate is responsible for making the appropriate disclosure required by applicable law, advertising standards, and platform rules.

Where applicable, affiliates should use a clear disclosure such as “Affiliate,” “Ad,” “Sponsored,” “Collaboration,” “Partnership,” or another disclosure permitted by the applicable platform or advertising guidelines.

The disclosure should be clear and sufficiently prominent for the audience to understand the commercial relationship.

SOMAAQ may require an affiliate to correct or remove promotional content that does not adequately disclose the affiliate relationship.

ASCI's current guidance specifically recognizes affiliate marketing as a material connection requiring disclosure and recommends clear, upfront disclosure.

10. Responsibility for Promotional Content

The affiliate is solely responsible for the content and materials published through the affiliate's website, social media accounts, videos, advertisements, emails, messages, or other promotional channels.

The affiliate must ensure that all information relating to SOMAAQ products is accurate and consistent with information officially provided or approved by SOMAAQ.

Participation in the Program does not authorize an affiliate to provide medical advice or make medical claims on behalf of SOMAAQ.

11. Payment and Payouts

There is no minimum payout limit for the SOMAAQ Affiliate Program.

Once an affiliate has an eligible payable commission balance and has submitted valid payment information, the affiliate may raise a payment request through the Affiliate Platform.

A payment request may take up to 24–48 hours to be processed by SOMAAQ.

Following processing, the payment may take approximately 2–10 days to be reflected in the affiliate's account, depending on the payment method, banking institution, payment provider, weekends, holidays, and other third-party processing factors.

SOMAAQ is not responsible for delays caused by incorrect, incomplete, or outdated payment information supplied by the affiliate or by third-party payment or banking providers.

SOMAAQ may delay payment where additional verification is reasonably required, including in cases involving suspected fraud, unusual transactions, refunds, chargebacks, or other compliance concerns.

12. Taxes

Affiliates are responsible for complying with all applicable tax obligations arising from commissions received through the Program.

Where required by applicable law, SOMAAQ may deduct or withhold applicable taxes or other statutory amounts from payments.

Affiliates are responsible for providing accurate payment and tax information requested by SOMAAQ.

13. Affiliate Account Security

Affiliates are responsible for maintaining the confidentiality of their Affiliate Platform account credentials and for all activity conducted through their account.

Affiliates must immediately notify SOMAAQ if they become aware of unauthorized access to their account or any suspected misuse of their affiliate link or discount code.

14. Intellectual Property

SOMAAQ and its licensors retain all rights, title, and interest in SOMAAQ's trademarks, logos, product names, product images, website content, marketing materials, and other intellectual property.

SOMAAQ grants approved affiliates a limited, non-exclusive, revocable, non-transferable right to use promotional materials expressly provided or approved by SOMAAQ solely for the purpose of participating in the Affiliate Program.

No ownership rights in SOMAAQ's intellectual property are transferred to an affiliate.

Upon termination of participation in the Program, the affiliate must discontinue use of SOMAAQ promotional materials, trademarks, logos, affiliate links, discount codes, and other Program-related intellectual property, unless otherwise authorized by SOMAAQ.

15. Relationship Between SOMAAQ and Affiliate

The affiliate and SOMAAQ are independent parties.

Nothing in this Agreement creates or shall be interpreted as creating a partnership, joint venture, employment relationship, agency, franchise, or other similar relationship between SOMAAQ and the affiliate.

The affiliate has no authority to make representations, warranties, commitments, or agreements on behalf of SOMAAQ.

The affiliate must not represent or imply that they are an employee, authorized representative, agent, partner, or legal representative of SOMAAQ except to the extent expressly authorized under this Agreement.

16. Internal Policies, Changes to Terms and Company Rights

Participation in the SOMAAQ Affiliate Program is subject to SOMAAQ's internal policies, operational procedures, promotional policies, payment policies, compliance requirements, and other applicable terms as determined by SOMAAQ from time to time.

SOMAAQ reserves the full right and discretion to modify, update, suspend, restrict, withdraw, or discontinue any aspect of the Affiliate Program at any time, including but not limited to:

  • Commission rates and commission structures.
  • Affiliate discount offers and promotional coupons.
  • Eligibility criteria and approval requirements.
  • Qualifying purchase and commission rules.
  • Payment processing procedures and timelines.
  • Affiliate promotional guidelines and permitted marketing channels.
  • Products or categories eligible for commission.
  • Affiliate account requirements and compliance policies.
  • Program features and benefits.
  • Any other terms, conditions, features, or benefits associated with the Program.

Such changes may be made based on SOMAAQ's internal policies, business requirements, operational considerations, regulatory requirements, fraud-prevention measures, promotional strategy, or any other legitimate business reason determined by SOMAAQ.

Where reasonably practicable, material changes may be communicated to affiliates through the Affiliate Platform, registered email address, website, or another appropriate communication channel.

However, SOMAAQ may make changes without advance notice where immediate action is reasonably necessary due to legal, regulatory, security, fraud-prevention, operational, or other business considerations.

Continued participation in the Affiliate Program after a change becomes effective constitutes acceptance of the revised terms.

SOMAAQ also reserves the right to suspend, restrict, modify, or terminate an affiliate's participation, commissions, promotional privileges, or account where SOMAAQ determines that such action is necessary or appropriate, including in cases of suspected fraud, abuse, policy violations, misleading promotion, misuse of discount codes, or activity that may adversely affect SOMAAQ, its customers, or the Affiliate Program.

Subject to applicable law, SOMAAQ's decisions regarding the administration, interpretation, and enforcement of the Affiliate Program and its internal policies shall be final.

17. Suspension and Termination

Either the affiliate or SOMAAQ may terminate participation in the Program.

SOMAAQ may immediately suspend or terminate an affiliate account where it reasonably determines that the affiliate:

  • Has violated this Agreement.
  • Has engaged in fraudulent or abusive activity.
  • Has used misleading or deceptive promotional practices.
  • Has misused SOMAAQ's discount codes or affiliate links.
  • Has made unauthorized or misleading product claims.
  • Has infringed SOMAAQ's intellectual property.
  • Has engaged in conduct that may harm SOMAAQ, its customers, or its reputation.
  • Has otherwise violated applicable laws, regulations, platform policies, or SOMAAQ's internal policies.

Upon termination, the affiliate must immediately stop using SOMAAQ promotional materials, affiliate links, discount codes, trademarks, logos, and other Program-related materials.

Eligible commissions earned before termination remain subject to verification, adjustment, refund/return status, and the terms of this Agreement.

SOMAAQ may withhold or delay payment of commissions for a reasonable period where necessary to verify transactions or account for cancellations, refunds, returns, chargebacks, fraud investigations, or other adjustments.

18. Compliance With Laws and Advertising Standards

Affiliates must comply with all applicable laws, regulations, advertising standards, consumer-protection requirements, and platform policies applicable to their promotional activities.

All advertising claims must be truthful, accurate, and capable of being substantiated where required.

In particular, affiliates must not make misleading or unsubstantiated claims about the health, nutritional, therapeutic, or other characteristics of SOMAAQ products.

Indian consumer-protection rules apply to misleading advertisements and endorsements, and applicable advertising guidance places responsibilities on both advertisers and endorsers/influencers.

19. Limitation of Liability

To the maximum extent permitted by applicable law, SOMAAQ will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to participation in the Affiliate Program, including loss of anticipated commissions, revenue, business opportunities, goodwill, or data.

SOMAAQ does not guarantee that the Affiliate Program will operate continuously, without interruption, or without technical errors.

20. Governing Law and Disputes

This Agreement shall be governed by the applicable laws of India.

Any dispute arising out of or relating to this Agreement or the Affiliate Program shall be subject to the jurisdiction of the courts having appropriate jurisdiction over the matter and/or SOMAAQ, subject to applicable law.

21. Severability

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, where legally permissible.

The remaining provisions of this Agreement shall continue in full force and effect.

22. No Waiver

Failure by SOMAAQ to enforce any provision of this Agreement at any particular time shall not constitute a waiver of SOMAAQ's right to enforce that provision or any other provision in the future.

23. Entire Agreement

This Agreement, together with any applicable Program policies, commission schedules, promotional guidelines, and other terms communicated by SOMAAQ, constitutes the terms governing participation in the SOMAAQ Affiliate Program.

Where there is a conflict between this Agreement and a specific Program policy or promotional rule, the applicable SOMAAQ policy or rule may control to the extent expressly stated by SOMAAQ.

24. Acceptance

By applying for, joining, or continuing to participate in the SOMAAQ Affiliate Program, the affiliate confirms that they have read, understood, and agreed to these Terms and Conditions, including any applicable SOMAAQ internal policies and subsequent amendments.

SOMAAQ reserves the right to update these Terms and Conditions from time to time.
